CONTRACTOR'S STANDARD TERMS & CONDITIONS
These Standard Terms & Conditions ("Agreement") govern the provision of construction services by C2C Construction Inc. ("Contractor") based in the state of California. By engaging Contractor's services, the client ("Client") agrees to be bound by the following terms and conditions:
Scope of Work:
a. Contractor will provide construction services as outlined in the mutually agreed-upon project proposal, specifications, and plans.
b. Any modifications or changes to the project scope must be documented in writing and agreed upon by both parties.
Payment Terms:
a. Client agrees to pay Contractor the agreed-upon project cost as specified in the contract.
b. Payments shall be made according to the payment schedule outlined in the contract.
c. Late payments may be subject to additional fees and interest charges as permitted by law.
d. Client shall bear all costs associated with permits, inspections, and any additional services beyond the original scope of work.
Project Timeline:
a. Contractor shall make reasonable efforts to complete the project within the agreed-upon timeline.
b. Delays caused by factors beyond Contractor's control, such as weather conditions or changes requested by Client, may extend the project completion date.
c. Client shall provide timely access to the construction site and necessary information to avoid project delays.
Quality and Warranty:
a. Contractor shall perform the construction services in a professional and workmanlike manner, adhering to industry standards and applicable codes.
b. Contractor warrants that all materials used and work performed will be free from defects and will comply with relevant laws and regulations.
c. Any defects or deficiencies discovered within the warranty period shall be promptly addressed by Contractor at no additional cost, subject to the terms outlined in the warranty provision.
Indemnification:
a. Client agrees to indemnify, defend, and hold harmless Contractor from any claims, damages, liabilities, and expenses arising from the project, except to the extent caused by Contractor's negligence or willful misconduct.
Termination:
a. Either party may terminate this Agreement upon written notice in the event of a material breach by the other party.
b. Upon termination, Client shall pay Contractor for any completed work and expenses incurred up to the termination date.
Governing Law and Jurisdiction:
a. This Agreement shall be governed by and construed in accordance with the laws of the state of California.
b. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
